These Terms & Conditions govern your use of the Vikotti wholesale platform. By accessing the platform or placing an order, you agree to be bound by these terms. If you do not agree, do not use the platform.
"Vikotti" refers to Vikotti SRL, the operator of this B2B wholesale platform. "Buyer" refers to any verified wholesale business granted access to the platform. "Order" means any purchase submitted through the platform. "Deposit" means the 30% advance payment required at order placement. "Balance" means the remaining 70% due before shipment.
Access to pricing, ordering, and the client dashboard is restricted to verified wholesale buyers. Vikotti reserves the right to approve or reject any registration at its sole discretion. Approved accounts are non-transferable and may not be shared. Vikotti may suspend or revoke access for any breach of these terms.
All orders are subject to collection-level minimum order quantities (MOQ) as displayed in the catalog. MOQ applies per collection, not per individual SKU. Orders falling below the stated MOQ will not be accepted. Once submitted and confirmed by Vikotti, orders are binding. Changes to confirmed orders must be requested in writing within 24 hours of confirmation and are subject to Vikotti approval.
All prices displayed are ex-works (EXW) in EUR. Prices are exclusive of VAT, customs duties, freight, and any applicable taxes. Prices are subject to change without notice but will be confirmed in writing at the time of order confirmation. Price indications visible in the catalog are estimates; the final price is stated on the proforma invoice.
A deposit of 30% of the order total is due at order placement. The remaining 70% balance must be settled prior to shipment release. Payment is accepted via bank transfer or approved payment gateway as indicated on the invoice. Vikotti reserves the right to hold shipment until full payment is confirmed. Late payment may incur interest at a rate of 2% per month on the outstanding amount.
Standard lead times are 3–5 weeks from deposit confirmation. Lead times are estimates and may vary due to factory capacity, material availability, or force majeure events. Vikotti will notify the Buyer of any significant delays. Vikotti cannot be held liable for losses arising from production delays beyond its reasonable control.
All custom configurations (leather, sole, lining, colours, size runs) are the sole responsibility of the Buyer. Vikotti will produce as specified in the confirmed order. Once production has commenced, no changes to the configuration are possible. Samples and prototypes may be requested prior to bulk order confirmation; sample costs are invoiced separately.
Vikotti performs quality checks prior to shipment. The Buyer is advised to conduct their own inspection upon delivery. Complaints regarding quality must be submitted in writing with photographic evidence within 7 days of delivery. Vikotti will investigate and, if defects are confirmed at fault of the manufacturer, will offer replacement or credit at its discretion.
Unless otherwise agreed, goods are shipped EXW (Ex Works) from the factory location. Risk of loss passes to the Buyer upon handover to the carrier. Vikotti can arrange freight on behalf of the Buyer at cost; this does not transfer liability for loss or damage during transit. Import duties and customs clearance are the Buyer's responsibility.
All product designs, catalog imagery, platform content, and branding are the intellectual property of Vikotti or its suppliers. Buyers may not reproduce, redistribute, or publish platform content without prior written consent. Factory identity, cost pricing, and supplier information are confidential and must not be disclosed to third parties.
The Buyer agrees to keep all information disclosed through the platform — including but not limited to factory identities, cost prices, margins, and unreleased designs — strictly confidential. This obligation survives termination of the account.
Vikotti's total liability to the Buyer shall not exceed the value of the specific order giving rise to the claim. Vikotti is not liable for indirect, consequential, or incidental losses including lost profits or business interruption. Nothing in these terms limits liability for fraud or gross negligence.
These terms are governed by the laws of Romania. Any disputes shall be subject to the exclusive jurisdiction of the courts of Bucharest, Romania. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.
Vikotti reserves the right to update these terms at any time. Updated terms will be published on this page with the revision date noted below. Continued use of the platform constitutes acceptance of the updated terms.
